1. Acceptance of Terms

These Terms are entered into between you and Lester Labs LLC, the company that operates VA To-Do. References to "VA To-Do," "we," "our," or "us" in these Terms mean Lester Labs LLC.

By accessing or using VA To-Do ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. You must be at least 13 years of age to use this Service in compliance with the Children's Online Privacy Protection Act (COPPA). If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Service Description

VA To-Do is a cloud-based task management platform designed for Virtual Assistants. The Service includes a web application, Chrome browser extension, AI-powered productivity tools, time tracking, client management, and optional paid subscription tiers. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. Accounts & Registration

To access certain features, you must create an account using a valid email address or through Google OAuth. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period.

4. Payments & Billing

VA To-Do offers Free, Pro ($10/month or $96/year), and Agency ($11 per paid seat/month or $105.60 per paid seat/year) subscription plans. Prices are shown and charged in US dollars. Payment is processed securely by Stripe; VA To-Do never receives or stores your card details. By subscribing to a paid plan, you agree to:

  • Pay the applicable subscription fees in US dollars
  • Authorize recurring billing until you cancel your subscription
  • Cancellation takes effect at the end of the current billing period
  • For Agency, that your bill follows the number of accepted members in your workspace, each of whom occupies one paid seat. Seat changes are prorated by Stripe

Refunds are handled on a case-by-case basis. Contact us within 7 days of a charge for refund inquiries. We reserve the right to modify pricing with 30 days' prior notice.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Scrape, data mine, or use automated tools to access the Service without permission
  • Impersonate another person or entity

6. Intellectual Property

All content, features, and functionality of the Service - including but not limited to text, graphics, logos, icons, software, and design - are the exclusive property of Lester Labs LLC and are protected by United States and international copyright, trademark, and intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our express written consent.

7. User Content

You retain ownership of all content you create or upload through the Service ("User Content"), including tasks, notes, client information, and time logs. By using the Service, you grant VA To-Do a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing the Service to you. We will not sell, share, or use your User Content for advertising or any purpose outside of Service delivery.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Our data handling practices comply with the Republic Act No. 10173 (Data Privacy Act of 2012) of the Philippines and applicable United States privacy regulations. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

9. DMCA & Copyright

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that content on the Service infringes your copyright, please send a written notice to our designated agent at the contact information below, including:

  • A description of the copyrighted work you claim has been infringed
  • A description of the material you claim is infringing and its location on the Service
  • Your contact information (address, telephone number, email)
  • A statement that you have a good faith belief the use is not authorized
  • A statement, under penalty of perjury, that the information in the notice is accurate
  • Your physical or electronic signature

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LESTER LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Lester Labs LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any User Content you submit through the Service.

13. Dispute Resolution

For users in the United States: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). You agree to waive any right to a jury trial or to participate in a class action.

For users in the Philippines: Disputes shall be resolved through arbitration in accordance with Republic Act No. 9285 (Alternative Dispute Resolution Act of 2004). Either party may seek interim relief from Philippine courts of competent jurisdiction as necessary to protect their rights pending arbitration.

14. Communications & A2P Compliance

By creating an account, you consent to receive transactional communications from VA To-Do, including:

  • Account verification and password reset emails
  • Payment receipts and subscription notifications
  • Service updates and security alerts

We comply with the Telephone Consumer Protection Act (TCPA) for communications sent to U.S. users and the National Telecommunications Commission (NTC) regulations for users in the Philippines. We do not send unsolicited marketing messages. You may manage your communication preferences in your account settings.

15. Termination

You may terminate your account at any time through your account settings. We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Service. Upon termination:

  • You will have 30 days to export your data before it is permanently deleted
  • Any outstanding fees remain payable
  • Provisions that by their nature should survive termination will remain in effect

16. Modifications

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms on the Service and, where possible, notifying you by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions, and the applicable laws of the Republic of the Philippines where relevant to Filipino users.
